AVP/VP - Corporate Legal - Project Finance Domain - NBFC

We have urgent Requirement for the position of VP/AVP - Legal with a leading NBFC.

Corporate Legal:

- Responsible for providing documentation and advisory support to SME and home loan team across India, for working capital loan, term loan and various security documents including documents relating to mortgage, guarantee, and hypothecation, drafting of resolutions, NDA's and review of title search report.

- Engaged in drafting, vetting and negotiating various alliance arrangement and related financing documents with corporate for extending financial assistances in the nature of working capital loan and inventory funding.

- Drafting of facility agreements and advising business on restructuring and re-booking of loans for delinquent accounts and assisting litigation team in strategizing recovery actions.

Debt Restructuring:

- Drafted, vetted and negotiated various transaction & security documents which include master restructuring agreements, negotiations on the security structure and subsequent finalization of security documents including mortgage documents, share pledge agreements, guarantees and non-disposal undertakings for debt restructuring of various companies under the aegis of corporate debt restructuring forum (CDR forum) as well as restructuring in cases of bilateral and consortium lending, which included debt restructuring of major infrastructure company.

- Drafted, vetted and negotiated various documents for sell-down of loans, assignment of debts, and other exit options from loan exposures, including debt asset swap and assisting with the modalities of release of securities.

 Litigation and Enforcement Strategy:

- Conducted enforcement audit, security audit and devised strategies for various enforcement and recovery options including enforcement of share pledge, overseas guarantees, debt to equity conversion, debt assets swap, action under SARFAESI Act etc.

General Corporate:

- Engaged in providing strong contracting, legal and regulatory support to business teams for outsourcing activities such as sourcing and servicing of loans, data processing (India and globally) and online platform for referral and sourcing of bank's assets products.
