Senior Manager/AVP - Legal - BFS

JOB DESCRIPTION:

Candidates with 6 to 10 years PQE having requisite experience and expertise in the following areas:

1. Understanding of laws pertaining to investment vehicles, pooled funds, mutual funds and asset management companies regulated by Securities & Exchange Board of India;

2. Understanding of FEMA and foreign investment policies, various rules, regulations, circulars and notifications issued by Reserve Bank of India and other relevant authorities applicable to such investment vehicles / pooled funds/ asset management companies;

3. Understanding with respect to setting up and registration of such investment vehicles / pooled funds with relevant authorities, including relevant documentation;

4. Independently managing investments and deployment by such investment vehicles end to end, including assisting in structuring, negotiating, preparing, reviewing and vetting of investment related documents, coordinating with external counsels, managing and documenting the pre-investment and post-investment compliances, etc.

5. Undertaking and validating creation of security interest including necessary filings required for perfecting the same;

6. Well-versed with relevant corporate laws applicable to the industry specifically the provisions of Companies Act, 2013 and compliances thereunder;

7. Drafting and negotiating standard business and operation agreements applicable to the industry;

8. Preparing reports / trackers at regular intervals for various businesses including for the purpose of monitoring of investments and for notifying / informing sponsors, investors, auditors and inspection team, as per the internal policies, procedures and requirement of law;

9. Responding to legal and other notices / queries within a defined timeline including to external third parties and regulatory authorities;

10. Understanding of insolvency related laws and other applicable laws for recovery of dues / enforcement of security. Liaise and coordinate with lawyer / law firms in relation to any legal proceedings initiated by or against the company, and providing necessary information, documents and assistance, as required;

11. Reviewing and vetting the petitions, written statements, replies, rejoinders, applications, etc.;

12. Strategizing to pre-empt and mitigate potential risks arising from litigations;

13. Reviewing and vetting the petitions, written statements, replies, rejoinders, applications, etc. as required;

14. Tracking legal risks arising from agreements and highlighting it to the concerned stakeholders;

15. Ability to identify legal implications arising out of an agreement, matter or litigation and advising various stakeholders;

16. Negotiating, reviewing and drafting documents for business transactions and advise on various aspects of law to the functional departments.

REQUIRED QUALIFICATION:

- Law degree from a reputed institution;

- Candidates having at least 8 years PQE associated with an asset management company, financial services industry or a legal firm specializing in BFS / fund practice;

- Good communication and drafting skills;

- Understanding the business requirements and addressing the same in accordance with the existing legal framework;

- Solution-oriented approach.
