Senior Management - Company Secretarial - Services Industry

Looking for Company Secretary for a leading Conglomerate.

Require incumbents from Conglomerates/ Groups and NOT from individual Cos.

Working experience Post membership approx. 10 - 12 years in secretarial function. With a Group of Non listed/ unlisted Cos. is MANDATORY.

Education: Company Secretary with LLB

The incumbent shall be responsible for:

- Analyze various business proposals/ deals including acquisitions, mergers take- overs, joint ventures, fund raising programs, bond issuances, borrowings, etc.; Participate in negotiations, discussions and ensuring all related compliances. All routine secretarial compliance related matters including shareholders, board and board committee meeting, agendas, minutes, registers, records, disclosures, filings, etc.

- To ensure that the Organizational Governance framework is effectively implemented and operational and all the policies and processes are adequately documented.

- Makes a major contribution to a decision or policy judgment reached by others. Investments, fund raising programs, bond issuances, borrowings, restructuring, various corporate actions including dividend, share splits, bonus etc.

- Institutionalization of decision making process.

- To oversee and ensure robust secretarial compliance standards in overseas entities and protection of shareholders / promoters interests. To ensure proper control, review and feedback.
