Company : Leading Investment Bank  Location : Mumbai  Title : Senior Counsel/AVP  Qualification : LLB+CS  Responsibilities :  - Provide legal and corporate secretarial advice.  - Interact and work closely with the Corporate Sector and LOB leaders to understand the legal and corporate secretarial risks and drive strategies to mitigate such risks   - Collaborate with IGSC's Compliance, Oversight & Control (O&C) and other key control functions and the APAC OLO team to anticipate and respond to the legal and regulatory requirements   - Provide key legal support from India GSC perspective on the Resolution and Recovery Plan the firm-wide bankruptcy based orderly resolution plan   - Collaborate with CAO, CFO, Controller and other corporate sector and LOB leaders for related IGSC activities on Resolution strategy, mitigation of weaknesses impediments, define bankruptcy process steps, Board approval and certifications   - Coordinate legal and corporate secretarial support across all LOBs and manage relationships with outside counsels and practicing corporate secretarial firms so that they deliver cost-effective and high quality services   - Work with IGSC compliance team to oversee compliance within IGSCs, review and advise on compliance processes, policies and procedures;  - Work with Oversight and Controls and CAO to establish, administer and participate in the appropriate risk governance framework for IGSC   - Provide input as a legal SME and take part in the IGSC activities on Inter-Affiliate Services (IAS) Program;  - Provide legal support in addressing regulatory matters in relation to the Federal Reserve Bank (FRB) examination conducted at India GSC.  - Responsible for advising on decisions applicable across Corporate Sectors and LOBs for certain legal issues (e.g. Power of Attorney, Letter of Authorities and corporate authorization etc.)   - Manage Board and Shareholder matters (including support in organizing Board/shareholders- meetings and maintain corporate secretarial records   - Ensure compliance with all relevant statutory and regulatory requirements of and for the entities under administration (e.g. statutory and regulatory application / filing in relation to corporate changes); and  - Co-ordinate with counterparts in other entities on requests relating to corporate governance / secretarial matters.  Qualifications for the role :  - A law graduate from a premier law school in India and an associate/ fellow member of the Institute of Company Secretaries of India;   - At least 6 years PQE in legal and corporate secretarial role in highly regulated Industry like Banking, Financial Services and Insurance (BFSI)   - Sound knowledge of corporate / company laws in India   - Practical knowledge of corporate governance and regulatory framework governing financial services businesses;  - Strong all-round background and be able to adapt to diverse business requirements and manage senior stakeholders like Board of Directors and Corporate Sector and LOB Leaders   - Superior communication skills and be able to work comfortably with local business and management teams, but with an international outlook and the ability to interact and communicate effectively at a local, regional and global level;  - Excellent written communication skills in English is imperative   - Able to communicate well and work in a cross-functional team to achieve common goals. Strong interpersonal, presentation and communication skills;  - Good teamwork, strong initiative and great independence  - Ability to identify and escalate issues timely and appropriately  - Ability to work under pressure, prioritize and respond to business needs and goals  - Must be a self-starter and with ability to work independently  - Ability to work in a fast-paced environment and within tight deadlines.
