Senior Company Secretary & Legal Counselor - Retail - LLB

Our client is one of the leading Brand in Retail Industry

We have an opening for Sr. Company Secretary & Legal Counselor role for Bangalore location.

Experience required - 13 - 19 years of relevant experience in a large corporate organization

Qualification - LLB, and CS both are compulsory

Job Responsibility :

To support in the efficient administration of the firm, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented & ensure corporate governance requirements & shareholders- relationship management

1. Corporate / Company Laws/SEBI/RBI/MCA

2. Legal & Secretarial : Secretarial : Conduct of meetings / committees

3 . Prepare and file all the statutory forms with the stock exchange, SEBI, MCA, etc. within the stipulated timelines to ensure compliance

4. Liaison with the directors or their offices at the appropriate time with regard to intimating meetings, annual disclosure, RPA, filing of forms, etc. as per the guidelines

5. Overseeing secretarial activities related to subsidiary/JV companies

6. Legal support to the secretarial team/matters and legal team as and when required

7. Prepare the annual report in liaison with the appropriate stakeholders and dispatch it to the shareholders within the prescribed timelines

8. Liaison with MCA and responding to any information sought and preparing and drafting relevant responses to the notices received from MCA/SEBI/RBI etc. Timely closure of actionable items

9. Liaison with the various government stakeholders on a periodic basis and manage all other activities such as IEPF, unclaimed dividends, etc. as per the requirement to ensure statutory compliance
