Secretarial Role - Financial Services


The Job Description of the profile is as follows:

1. Act as Company Secretary of the company listed on exchanges

2. Ensure compliance of applicable regulations, primarily SEBI LODR Regulations & SEBI (Prohibition of Insider Trading Regulations)

3. Ensure Compliances under Companies Act, 2013 for the company & Subsidiaries

4. Manage all Board related matters of the Group, including Board Matters of material subsidiaries into Asset Management and NBFC Business - which shall include

i. Co-ordination with Board of Directors

ii. Convening of Board & Committee Meeting(s)

iii. Implement best governance practices as followed by industry and / or as advised by Board

iv. Maintenance of all statutory records & ensure due filing of all returns and forms

5. Ensure Listed Company requirements including convening of AGM, payment of dividends, approvals through postal ballot, if any, periodic disclosure to exchanges

6. Effective implementation of Prohibition Insider Trading process and controls, including periodical review of designated persons, monitoring the Company employee dealing software and approvals made thereunder and guiding the management on SEBI regulations on same

7. Implementation of ESOP System including granted related process, supervise the ESOP software with respect to vesting, exercise, allotment, credit of shares & listing

8. Handle special corporate actions, if any like merger, demerger, transfer of business undertaking, capitalization

9. Ensure RBI Filing and compliance relating to investment in offshore subsidiaries including periodical filing of Annual performance report and returns

Job Skills and Qualification:

1. Member of Institute of Company Secretaries of India, with atleast 15 years post qualification experience in financial services industry

2. Demonstrate Leadership and Decision-making abilities

3. Team Leader - managing more than 5-member team of qualified and experienced Company Secretaries

4. Demonstrate Effective Communication skill with Board Members, Regulators, Stake Holders, Inter-Department and with Management

5. Deadline and detail oriented

Reporting: To Chief Operating Officer/ Chief Compliance Officer
