DESIGNATION : Company Secretary &amp; Legal Head QUALIFICATION : CS &amp; ICWA/CA with LLB Associate Member in CS - Must be a fellow member AGE : Above 40 years to 48 years EXPERIENCE : 15-20 years - Out of which a minimum, 15 years as Company Secretary in a Pharmaceuticals manufacturing &amp; marketing Company Managing independently. - Operational Knowledge in Finance &amp; Accounts would be added advantage KEY EXPERTISE Company Secretarial Functions: - Scheduling Board Meetings - Preparing Board Meeting Agenda - Preparing Board Minutes of Meeting - Correspondence with ROC - Verification of Legal Agreements / Documents - To Liaise with Govt Authorities related Income Tax, - Sales Tax, Commercial Tax, Customs, Imports &amp; Export Authorities - Verification of Contract Agreements those being received from International Business Parties and to amend /alter to safe guard the Company's Business Interests / Trademarks / Intellectual Property etc - Working knowledge on DPCO, NPPA &amp; Patent issues added advantage Responsibilities: - Organising, preparing agendas for and taking minutes of board meeting and annual general meeting (AGMs) - Maintaining statutory books, including registers of members, directors and secretaries. - Dealing with correspondence, collagen information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders - Contribution to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies - Liaising with external regulators and advisers, such as lawyers and auditors - Preparation and Maintenance of Secretarial Records of Companies - Minutes of Board Meeting and General Meeting - Help in the Finance Department of the Company KEY SKILLS Essential : Fluency in spoken &amp; written English and able to draft various Statutory Compliance letters related to Company's affairs. Knowledge of Local Language is mandatory. Computer Skills to prepare documents confidentially.
