The responsibilities include :
1. Secretarial & Compliance:
- Compliance of Companies Act, 2013 / 1956 and its Regulations.
- FEMA/RBI/CSR compliance.
- Responsible for Secretarial, Legal & Compliance related matters of the Company.
- Drafting of Notices, Agenda of Notices, Resolutions & Minutes of Various Meetings of the Company under the Companies Act & various applicable laws.
- Incorporation of Companies under the Companies Act, 2013, alteration in the Memorandum and Articles of Association etc.
- Convening of Meetings of the Board, Committee & Shareholders Meeting.
- Establish and execute procedures for timely documentation and filing of various returns, forms etc., under the Companies Act, RBI Guidelines and other related laws.
- Manage the statutory compliance process across the company and reporting the status to the Board of Directors.
- Maintenance of books, records, registers & other documents, papers and records as per requirement of various applicable laws
- Filing of forms and other statutory documents with ROC, RBI and other authorities
- Co-ordination with Law Firms, Bankers, auditors and other competent authorities for various matters.
- Ensuring implementation of internal compliance policies across the organization and conduct audits to check the implementation
2. Legal
- Drafting of contracts, agreements, MOUs, and other related documents for various business verticals of the Company.
- Drafting and execution of POAs in favour of employees of the Company.
- Handling various litigation matters filed by / against the organization.
- Holding discussions & negotiations with Advocates, Lawyers & multilateral institutions in connection with various legal and compliance related matters.
3. KRAs:
- The statutory records maintained should be accurate.
- The agreements prepared should be accurate and should be renewed timely.
- Manage secretarial work flawlessly.
Requirements :
- Qualifications Company Secretary and LL.B.
- Experience - Around 10 years
