Job Summary Repro India Limited is currently seeking a AGM/GM - Legal, Compliance and Company Secretary to join & lead our growing team in Lower Parel, Mumbai. As a Company Secretary and a Law graduate you will handle entire Company Secretarial, Statutory Compliance function and implement Corporate Governance standards, for the company including Risk assessment and mitigations. You will coordinate the activities of Accounts, Finance, Statutory, Manufacturing plant compliance and litigations, Internal compliance Audits, and other compliance audits of various departments like GST, Income Tax, Commercial tax etc., and would be reporting to CFO for Legal and compliance and Board of Director for Company Secretarial. The potential candidate should have 10-18 years of experience in Legal, compliance and company secretarial matters with at least 4 years experience in listed entity with exposure to manufacturing units is mandatory. Responsibilities: A. Legal 1. Independently manage various businesses verticals in terms of negotiating, structuring, drafting Supply Agreements and Supply & Service Agreements for Purchase Agreement, vetting of Bid Documents, letter of intent, leave & license agreements, Service Agreements, Employment agreement, MOU, NDA, Commercial Agreements, marketing agreements, shareholders agreement and other general agreements for domestic and international transactions. 2. Handle & represent Civil, Criminal & IPR cases of the company before various courts. 3. Handling issues of factory / environment laws and responding to legal notices. 4. Tracking, monitoring, and settling all legal cases of the company at plant and commercial level and advising the on various issues of business. 5. Advising the Management on various legal issues to pursue right course of action and for timely implementation of various legal procedures. 6. Advising on due diligence for acquisition of various properties and managing the same by digitization of the same. 7. Assessing risk at business level (setting new business, expansion, service capabilities, man and material) and proposing the way forward to ensure Risk is assessed, issued and mitigated. B. Company Secretarial duties 1. Ensuring Regulatory Compliances under the Company Law, Stock Exchange Listing agreements, SEBI Regulations, FEMA Rules & Regulations. 2. Liaison & Correspondence with various regulatory authorities like Registrar of Companies, Regional Director, Company Law Board, RBI, Stock Exchanges & SEBI. 3. Advising management on provisions of the new Companies Act, 2013 applicable to the Group Companies. Keeping regular track of amendments vide circulars/ notifications/ rules and updating the management on its implications relevant to respective Companies. 4. Preparation of Annual Reports like Notice, Boards' Report and Corporate Governance Report etc. 5. Ensuring due compliances of various provisions thereto for Income Tax, GST, Service Tax Matters, Banking matters etc. pertaining to the power and mining entities. 6. Handling activities related to Due Diligence with respect to Secretarial compliances. Experience, Qualification and Skills Required - Experience: 10-18 years of experience in Legal, Compliance & Company Secretarial - Qualification: Company Secretary (mandatory) from ICSI and Law graduate from a reputed College.
