Company Secretary - NBFC - Convening Board/ Committee general meetings /meetings in Compliance with provisions of the Companies Act, SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 - Preparation of agendas, taking minutes, Action Taken Reports, follow ups for completion of Action Taken Reports - Ensuring Compliance with Companies Act, 2013 and rules made thereunder, SEBI (Listing Obligation and Disclosure Requirements) Regulations. 2015, SEBI (Prohibition of Insider Trading) Regulations, 2015 - Compliance on fund raising (Equity, NCDs - Public & Private Issue) and corporate actions related thereto - Drafting of various policies and monitoring compliance with applicable policies and ensure overall compliance of NBFC-ND-SI as per the RBI circular and guidelines - Maintenance of all statutory registers and filings with regulators - Keep track of regulatory updates and advising management thereon. - Providing support to the management / board or other committees on specific projects and various corporate actions. Ensuring compliances related to the same. - Filing of forms, returns with Ministry of Corporate Affairs and Stock Exchanges, maintaining Statutory Registers applicable to the Company. - To carry out corporate actions, obtaining of Listing approval, trading approval from NCDL/ CDSL, BSE/ NSE as the case may be - Acting as a one point of contact and building good relationships with shareholders - Any other duties/ responsibilities as may be assigned by the management from time to time. - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder - Ensure that the company is complying with all secretarial standards.
