JOB DESCRIPTION :


SECTION I : PURPOSE OF THE ROLE

- The role is responsible for creating the strategy for the legal function and providing legal advisory to the leadership team for various group companies and share legal opinions on key decisions and advice to support internal stakeholders in inquiries related to applicable laws, regulations and policies.


- The role is also responsible for overseeing the development of contracts and agreements with external legal service providers and ensure alignment with pre-set policies and guidelines and support litigation cases as necessary while adhering to internal policies and guidelines

SECTION II : KEY RESPONSIBILITIES AND ACCOUNTABILITIES OF THE ROLE

Strategy and Planning :


- Develop and lead implementation of the legal strategy for RattanIndia in line with the overall firm strategy to ensure compliance to all regulatory norms

- Review the consolidated budget requirements based on the inputs received from the team; Seek business justifications for each business case; Create financial plans for the business and share with the stakeholders for approval

- Prepare and present regular reports on the progress and outputs to be shared with relevant internal and external stakeholders in line with internal guidelines and statutory reporting requirements

- Prepare annual budget for the legal department, share with the MD for review and ensure adherence to the plan

Legal Advisory :


- Review business head and board decisions from a legal perspective, analyze risks involved and provide legal advice and recommendations

- Review the legal documents drafted by the team while ensuring that all clauses are captured accurately and are in compliance with applicable laws and regulations

- Manage the provision of legal studies and advice to support internal stakeholders in inquiries related to applicable laws, regulations and policies

- Ensure corporate resolutions are in compliance with legal standards and provide recommendations when needed

- Monitor post disbursement compliance to the transaction agreements by all parties involved and advise business teams on associated matters

Contract and Vendor Management :


- Develop legal policies, guidelines and forms related to contracts and agreements by coordinating with internal teams

- Develop a vendor management framework for empanelment of external legal service providers; manage cost, quality, TAT and provide support as required

- Manage legal contracts with clients, suppliers and other stakeholders by supporting the contracts and commercials team as necessary

- Ensure integrity of legal content, manage the identification and mitigation of potential risks related to contracts execution and interfere when needed

- Review all correspondence and reports prepared by the vendor teams and recommend changes

- Oversee the development of contracts and agreements with external parties and ensure alignment with pre-set policies, guidelines and standard model forms

Litigation Management :


- Act as a focal point for all litigation and court related matters involving railways, land related disputes, theft related cases and cheating by employees, ensuring proper representation of RattanIndia in all legal matters and judicial claims in which it is a party

- Recommend selection of appropriate law firm in cases where external advice is required; vet all reports prepared by lawyers and recommend changes

- Manage the assessment and investigation of legal cases and ensure all needed documentation is available to internal/external counsel to support cases

- Review statements of claim, counter-statements, warning letters and responses drafted by the team and recommend changes

- Negotiate with external parties involved to secure out of court settlements where feasible in order to avoid litigation

- Attend court hearings in Mumbai and Nagpur high courts as required and provide real time support to lawyers in order to ensure favorable judgements for the company

- Stay up to date on new and upcoming regulations impacting the business as well as new judgements pronounced by courts, advise business heads on potential impact and incorporate changes in internal policies and procedures

Stakeholder Management :


- Maintain relationships with lawyers, government officers and local politicians, railways and other external stakeholders through regular connects, attending forums etc.

- Support internal audit teams and finance teams by providing the required information and documentation

- Create a framework for resolution of all legal queries in a timely manner; ensure adherence to all regulatory norms and local laws

Process Improvement :


- Drive process improvement and process re-engineering initiatives and monitor cost savings and reduction in turnaround times for all activities

- Recommend new tools and technologies for process optimization; perform cost-benefit analyses and seek senior management buy-in

People Management :


- Articulate key performance indicators and competency requirements for team members

- Drive recruitment processes for key positions and conduct interviews for selection of right candidates

- Drive job rotation within the team for constant skill development; provide support with trainings requested by team members

- Coach and mentor, provide challenging assignments and high visibility training for high performers

- Provide suitable redeployment and retraining opportunities for low performing team members and create an environment for solid citizens within the team to make the transition to being high performers

- Hold regular communication meetings with team to share organizational updates, functional priorities, performance updates, resolve issues, etc.

- Motivate teams to improve productivity, drive engagement in the team, and build a culture of high performance and meritocracy by recommending promotions for right candidates, and implementing an effective, fair and transparent talent management system

SECTION III: KNOWLEDGE AND SKILLS

Education Qualifications : Bachelors Degree in Law , Masters Degree in Law

Experience : 20+ years
