About the Role:

PORTER is seeking an experienced Company Secretary to lead the corporate secretarial function for its India and overseas entities. Reporting to the CFO, this individual will play a key role in ensuring highest standards of governance, transparency, integrity, legal & regulatory compliance to support the company's growth and will play a pivotal role in the IPO readiness and listing journey of the Company.

The role will involve managing a team of secretarial and legal professionals, closely working with the management, advising and execution on a wide range of corporate, secretarial, structuring, due diligence, statutory audit, internal audit, corporate affairs, mergers and acquisitions matters and IPO journey, and will serve as a proactive corporate advisor to PORTER's teams in India and abroad.

Key Responsibilities:

- Head the Secretarial Team of the Porter group of companies.

- Establish policies, procedures, and guidelines for compliant secretarial function in all the jurisdictions where Porter operates.

- Provide secretarial support to various teams: business, finance, technology and HR,

- Conduct board meetings, prepare agenda and notes, minutes and resolutions,

- Conduct legal due diligence / secretarial audit to identify any obstacles or risks associated with the Company from a corporate / business law perspective.

- Lead the Company through the phases of Pre-IPO, IPO and Post-IPO journey.

- Overseeing end-to-end compliance with the Companies Act, LLP Act, FEMA, other applicable regulations and maintaining vigilance over overall compliance.

- Oversee the ESOP / SAR policies, automation in the cap-table and ESOP systems.

- Managing statutory registers, filings with ROC/RD/other relevant authorities, and coordinating with other departments to ensure compliance.

- Help the organisation in setting CSR / ESG Objectives, plan for ESG activities and maintain effective reporting thereof.

- Stakeholder Management, Management of Board, Committees, Shareholder's Meetings like a listed entity.

- Serve as the primary point of contact for the Board of Directors, facilitating communication and providing support to board members on governance matters, best practices, regulatory developments, and compliance requirements.

- Collaborate with internal stakeholders, including legal, finance, and HR departments, to ensure alignment on governance and compliance matters.

- Managing the compliances from SHA and SSA perspective.

- Develop systems and policies to establish highest standards of corporate governance practices.

- Coordinate with external legal counsels, consultants, domain experts, and auditors as needed to address governance and compliance issues.

- Develop and deliver training programs for directors, executives, and employees on corporate governance, compliance, and ethical standards.

- Actively engage in investor relationship management and reporting requirements

- Manage working relationships with the external consultants, lawyers and regulatory authorities including meetings and representations on behalf of the company

- Support on review and negotiation of contracts from an overall commercial, finance, and regulatory perspective

- Work closely with the International teams - Finance, Accounting, Legal, Tax etc

The company secretary will establish and maintain organization secretarial practice standards, process, templates and execute inter department processes, implement improvements.

Skills and Qualifications:

- Membership of the ICSI along with a minimum of 12 to 15 years of relevant experience with a multi-national company or a large Indian corporate, with at least 5 years as in-house Company Secretary of a listed company.

- Candidates with a law degree, additional qualifications/ certifications in the legal and regulatory domains will be preferred

- Should have led a company to a successful IPO.

- Competence in a broad range of areas such as company law, foreign exchange regulations, secretarial standards and governance, and statutory compliances is required; knowledge and experience of corporate and commercial laws, contract management will be an added advantage.

- Demonstration of solid organizational skills, ability to think strategically, and sound judgment in the analysis of complex issues and deriving conclusions.

- In depth understanding of corporate laws and regulations, corporate governance principles and industry best practices.

- Exceptional communication and interpersonal skills, with the ability to interact confidently and professionally with board members, senior executives, and external stakeholders.

- Team leadership and management experience, with the ability to motivate, inspire and develop a team of professionals.

- Commitment to continuous learning and staying updated on changes in corporate governance regulations and best practices

- Ability to work independently as well as in a cross-functional environment.

- Outstanding communication and stakeholder management abilities.
