Female - Paralegal/Assistant Company Secretary - Legal - LLB
A conglomerate based across MEA is looking for Paralegal & Assistant Company Secretary.
Gender : FEMALE only
Preferred : Indian working in overseas
Work Location : Dubai
Need junior or manager role who would be comfortable to do assisting work for Legal Manager and Group CEO which includes all clerical work like drafting; email sending etc.
Job Role
- Timely and due compliance of relevant company law regulations
- Preparing agenda, notice, minutes, resolutions for all Board meetings and shareholders meetings
- Legal research and review of various agreements.
- Maintenance/ updating of statutory registers and records, preparation, and issue of share certificates, etc.
- Filing of necessary paperwork with the relevant authorities on all secretarial compliance matters.
- Personally interact with and visit regulatory offices as and when required.
- Incorporation and dissolution of companies in various jurisdictions (particularly Asia and Africa) and liaising with local consultants and lawyers for the same.
- Compliances relating to corporate actions like share subscriptions, transfers, buyback, rights, bonus issues, dividend, etc.
- Liaising with government agencies and company regulators in various jurisdictions.
- Ensure timely completion of reporting of compliance status by the business units on various regulatory licenses, approvals, etc.
- Preparing and updating regular MIS reports on legal and secretarial matters.
- Carrying out research on corporate secretarial matters to help business on interpretation and implementation of relevant company law regulations.
- Organizing and updating central database of relevant contracts, secretarial records, business licenses, regulatory approvals, etc. of various group companies.
Education & Experience :
- LL.B. + Qualified Company Secretary
- 6-8 years' relevant experience as per the Job Description.
- Experience in handling company matters in various African countries will be preferred
- Excellent written and spoken English.
- Significant experience in handling corporate secretarial matters in a large group of companies
