Job Summary: Company Secretary and Head - Legal will be the vital link between the company and its board of directors with the Government, Regulatory authorities and other stake holders within the company. He/She will handle all company secretarial and legal functions. The position demands high integrity, confidentiality and the ability to provide sound and informed advice to the Board and ensure smooth operations of the company. The job incumbent will have to promote a culture of integrity, quality, ethical behaviour to be a responsible corporate. Reports to : CFO Job Specifications: - Male or female candidate - Qualified and Member of Institute of Company Secretaries of India - Law degree and member of the Bar Council of India - 10-15 years of experience - Hospitality Industry experience will be an added advantage though not mandatory KRAs and Responsibilities: - Advises on and drives compliance of legal and procedural aspects under various corporate laws applicable for a private limited company. - Formulates good governance practices, processes and compliance of Corporate Governance norms as prescribed under various Corporate and applicable laws. - Reviews legal strategy in consultation with the board - Maintaining proper corporate interactions with the relevant local, state and governments and regulatory bodies. - Conducts thorough risk analysis before entering into various types of commercial & financial agreements. - Is responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative - Coordinates board/general meetings, maintain minutes of the meetings and follow-up actions thereof - Acts as the custodian of corporate records, statutory books and registers - Manages the Secretarial/Compliance/Legal Audits and is the authorised signatory in such documents - Oversees all legal documentation, Annual Return where necessary and responsible for other declarations, attestations and certifications under applicable laws. - Participates in budgeting, cost control, strategic planning and decision making. - Prepares Annual Reports - Participates in contract negotiations, arbitration & disputes on behalf of the company - Participate and assist the Finance department in all matters pertaining to compliance and applicable laws. - Frequent interaction with executive management (CEO, BU heads, HR, IT etc) - Liaise with external regulators like auditors and lawyers - Other matters that might come in the purview of this role Skills required: - Excellent communicator with proficiency in written and verbal English - Excellent negotiator - Sound technical knowledge on applicable corporate laws - Knowledge of trade mark and patent rights is a must - Meticulous and disciplined in maintaining records
