Company Secretary JOB DESCRIPTION - Position Title: Manager - Company Secretary - International Level: Manager /AM Function: Finance Experience Required: 1. Years of experience - 4+ 2. Earlier Sectors worked - E Commerce / Start-up sector/ Listed Company Academic Background: Essential - LLB with a post-qualification experience of 4-6 years. (Tier 1 college must) ROLES AND RESPONSIBILTIES - Well versed with Companies Act, FEMA, RBI (ODI &amp; FDI), PPI, etc - Having experience in Private equity funding, Mergers and Acquisitions and Corporate Restructuring - Having experience of incorporating of a Company in India and abroad and handling the secretarial and post compliance requirement in India and under international laws such as Singapore, Australia, US, UK etc - Having experience in handling the Investor relations - Drafting and vetting of Share Subscription Agreement, Shareholders Agreement, Share Purchase Agreement, Investment Agreement and etc - Vetting of documents and process pertaining to the buyback, bonus and split of equity shares of the company - Handling board and shareholder matters (i.e. Organizing, preparing agendas for and taking minutes of board meetings, AGMs and any others meetings of Board of Directors, Committee and Shareholders) - Experience in liasoning with various government officials such as RoC-MCA, RBI etc - Filing of returns and forms with RoC-MCA, Form FC-GPR, Form FC-TRS, Annual Return of Foreign Assets and Liabilities and Annual Performance Report under RBI - FEMA - Drafting, vetting and implementation of various governance policies and schemes of the Company - Shifting of Registered office of the Company inter-state or one state to another state - Excellent verbal and written communication skills - Ability to handle tough situations in a composed and intelligent manner
