Officer - Secretarial & Legal Company Overview www.upscal.io - UpScalio is a fast-growing seed funded startup currently in stealth mode - D2C ecommerce aggregator - This is a unique platform where a financial professional will get a flavor of Analytics, business and rapid acquisitions and build the organization from the ground up. With the initial aim to outsource transaction work, this position has an opportunity to work on structures, process, and M&A. Leadership Team: It consists of well-established professionals from Bain, McKinsey; Hotstar etc. Location: Gurugram Role: Will be part of the finance team reporting into Finance Controller. The candidate will ensure full secretarial and legal compliance and will perform following tasks: - Knowledge on legal drafting - Vetting of major contracts, agreements, transfer agreement, supplementary agreement, negotiation and nomination agreement, term sheet, memorandum of understanding, memorandum of articles. - Managing outsourced Senior Lawyers & Legal Firms - Updating Policies and Procedures. Advise legal requirements to staff. - Review laws, amendments and support Management with external statutory bodies, auditors, legal counsel/law. - The job holder is responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks and always work towards protecting business interest. - Commercial and legal opinions and recommend measures to mitigate. - Handle all corporate and secretarial compliances for the corporate entity, including all filings with regulatory and government bodies. - Prepare necessary documents for calling, conducting, holding and documenting minutes of the Board, its committees and Members- meetings. - Ensure good governance and assist with corporate activities like risk assessment, operating a vigil mechanism. - Study laws applicable to the business operations and drive compliance through compliance systems of the company. - Collaborate with various teams for ensuring compliance of laws applicable to business operations. - Handle compliance & regulatory affairs, including inspections, compliance notices, and enforcement of laws Background & Experience: - Degree in Law and Company Secretary with 4+ years of experience. - Candidates with experience in working with startups or M&A Transactions will be preferred. - You should have worked with business leaders directly, and functionally have experience in compliance, legal and secretarial work. Skills and Mindset: - Influence and convince stakeholders with appropriate analysis and comments. - Ability to deal with ambiguity and respond with right trade offs - Takes a balanced view of business reality and legal requirements in every decision framework - Good communication skill
