- Ensuring full compliance with the Companies Act 2013 and SEBI guidelines for the whole group including all applicable Rules, / circulars/ notifications, policy framework etc.
- Logical and correct interpretation of each section/rules/notifications with proactive implementation understanding the group requirements. Innovative suggestions to apply the rules/sections for the group to make business oriented secretarial function.
- Monitoring all updates on the Companies Act/SEBI guidelines & providing clarity on the same to Seniors and board members.
- Understanding our company business, balance sheet vis a vis Corporate activities of the major competitors in the Financial Services/big corporates and/or Undertaking projects which can benefit the group and /or increase ROE to promoters/stakeholders by Equity Capital structuring, Innovative ESOP schemes, Various corporate finance raising instruments like Debt, preference capital, Commercial papers, hybrid instruments, M & A strategies and Re-structuring projects like bonus, rights, etc in compliance with Company law, SEBI & RBI.
- Ensuring team management and creating for expertise in Companies Act /SEBI guidelines matters and ensuring timely minute and form filings etc.
- To build / maintain effective relationships / networks of contacts with CS fraternity, Industry people, Regulators & consultants, to potentially help in achievement of work-related goals / establishing advantages.
- Should possess the ease & comfort in approaching key people in the organization whether internal teams or inter departmental.
- Should be able to build a strong network within team / across departments
