Our dynamic and fast-growing company is seeking a talented Legal Counsel to join Mensa's Legal & Compliance Team and help us drive success in a rapidly changing industry. - As our new legal expert, you will have the opportunity to review, draft and negotiate a variety of contracts across all areas of our company, including commercial, vendor, procurement, technology and more. You will analyze associated risks and provide advice on risk mitigation to internal stakeholders, ensuring that all contracts are in line with legal requirements and industry standards. - In addition to contract work, you will advise on general business law issues and manage legal matters related to corporate, statutory and regulatory compliance, privacy, consumer laws, procurement, safety, security, logistics and warehousing, and intellectual property. - You will also provide support on corporate M&A transactions, including acquisitions, cross-border mergers, amalgamations, and joint ventures with third parties. - As part of the Legal & Compliance team, you will prepare transaction documents, conduct legal due diligence, support legal negotiations, and manage post-closing matters related to a transaction. Responsibilities: - Drafting and Negotiating legal agreements: You would be responsible for drafting and negotiating commercial legal agreements such as vendor contracts, procurement contracts, service provider contracts and more. - Providing strategic legal advice: You would need to provide legal advice and guidance to Mensa's businesses stakeholders on legal issues related to corporate matters, statutory and regulatory compliance, privacy, consumer laws, and more. - Managing legal risks: You would need to identify and manage potential legal risks related to agreements to ensure that the Mensa and its various business interests are protected. - You would need to stay up-to-date on relevant laws, regulations, and industry trends and advise on interpretation and application of a wide variety of legal areas including media laws, intellectual property, IT laws, data protection, payment regulations, advertising & marketing laws/regulations and more. - Preparation of transaction documents, legal due diligence, supporting legal negotiations, signing and closing as well as managing post-closing matters related to a transaction. - Support on corporate M&A transactions including acquisitions (whether by share purchase or business transfers. Required Skills/Abilities: - Excellent communication skills. Ability to condense and convey complicated issues clearly and succinctly. - Ability to work collaboratively and effectively in a fast-paced environment with a diverse pool of internal stakeholders in particular the Investments, Finance, Growth and Treasury teams. - Exceptional analytical and organizational skills, including the ability to manage complex assignments and timelines, exercising sound judgment and decision-making in prioritization of multiple deadlines. Education and Experience: - LLB degree from a reputed institution. - 2 to 4 years of experience as Contract Counsel in a leading law firm and/or in-house legal team.
