Manager/Sr Manager - Legal - Retail

JOB ROLE

1. To support the senior team on the legal aspects of new acquisitions for the entire Sahara Group, including, among other things:

a) Negotiate and draft term sheets, MOUs, NDAs and other preliminary documentation;

b) Liaise with external lawyers for relevant transactions and work with them on defining agreements;

c) Ensure effective conclusion of transactions and post completion activities including contract management

d) Ensure compliance of relevant laws including foreign exchange, remittances and other applicable domestic laws

e) Research on various legal issues as and when necessary

Acquisition include – Investing /divesting in companies in related business of group companies including
equity/debt transactions; investing in newer businesses/projects/companies as per chairman’s and
board’s vision; financing and reviewing projects in the group companies

2. Handle negotiations, draft and review wide range of commercial agreements including purchase
agreements, lease and charter agreements, financing documents like loan agreements, security
documentation and other ancillary documents such as insurance and escrow arrangement

3. Contract administration including fulfillment of conditions precedent and conditions subsequent etc.

4. Draft, review and advise property acquisition related agreements and documents on outright purchase
or lease

5. Review and advise senior management on employ related legal matters

CANDIDATE PROFILE:

- 6 - 10 years of experience in the legal team of a reputed organisation

- LLB / LLM from an established college (regular program)

- Should have strong expertise of handling legal aspects of M&A & due diligence, financing transaction;
shareholder agreement, vetting contracts and agreements; acquisition on outright purchase or lease;
employment related laws and litigation

- Excellent communication and presentation skills
