Brief Responsibilities

- Drafting, reviewing and negotiating a variety of commercial contracts (local and cross-border): Professional services agreements aka engagement agreements (standalone, MSA and cross-border MSAs), SOWs, consortium and teaming agreements, subcontracts, NDAs, release and reliance letters (in a transactions context), employment contracts, vendor agreements, software licensing and software implementation contracts.

- Engage in negotiations with client's counsels (clients may be from any industry and any jurisdiction – Indian as well as overseas).

- Negotiation of cross-border engagements, involving frequent liaison and coordination with global commercial management and EMEIA legal teams, as well as legal counsels in other jurisdictions. Will also involve developing and maintaining a local database / repository of cross-border negotiations.

- Review of Government contracts: Review of RFPs issued by Government departments, agencies or undertakings (Indian or foreign), international funding agencies (e.g. World Bank, ADB, JICA, etc.). Will also involve developing strategy on managing legal risks arising out of such engagements.

- Process improvement: Prepare user-friendly and business-oriented guidance notes, FAQs, templates to simplify contractual procedures.

- Compliance: Assisting compliance and regulatory reporting functions (local and foreign regulators). It is desirable that the person has worked in an organization having interface with regulators.

- Assist the General Counsel in other day-to-day matters, which may involve developing or interpreting policies, drafting legal opinions on statutory provisions, case laws, etc.

- Exposure to understanding of court proceedings, excellent knowledge of procedural laws and litigations in India at the level of High Court and Supreme Court.

- Experience in briefing / interaction with external counsels.
