Manager - Secretarial Shared Services
- Updation and maintenance of records like Annual accounts/ secretarial documents/ annual returns & forms on online platform for all the regions/countries under his/her responsibility (including past and going forward).
- Organizing and preparing agendas and papers for board meetings, committees and annual/ extra ordinary general meetings (E&AGMs)
- Taking minutes, drafting resolutions, lodging required forms and annual returns with Companies House through working closely with country teams and local compliance consultants
- Following up on actions from meetings
- Circulation of various reports on regular intervals of past compliances done for different countries under responsibility, overdue reports for pending compliances and future due date heads up report.
- Maintaining statutory books, including registers of members, directors and secretaries
- Collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders
- Contributing to meeting discussions as and when required, and advising members of the legal, governance
- Being in constant touch with local country teams & local secretarial consultants for any changes in regulatory environment and taking appropriate actions.
- To ensure that publications such as annual reports and accounts, and their dissemination, comply with the organisation's governing document and statutory requirements.
- Managing with admin responsibility software systems which help assist in compliances across all countries, database of all secretarial records across network countries of and regular information decimation to all stakeholders on past, present and future compliances status.
