Manager: M&A, Due Diligence and Fund Raising
CA / MBA (Finance) from Tier-I/II institute 5-8 years relevant experience
Key Responsibilities:
- Facilitate identification & validation of suitable inorganic growth Opportunities for company's/group's businesses
- Conduct preliminary due diligence to identify and shortlist target companies in relevant domains/ sectors
- Compile and analyze data regarding companies to be acquired, and interpret its financial health based on data analysis
- Utilize economic and statistical models to aid in the evaluation and feasibility of mergers and acquisition targets
- Be able to quickly develop a comprehensive financial model for acquisitions and understand the key variables to the structuring of a successful transaction
- Conduct detailed due diligence at a later stage once the target has been finalized, and develop integrated revenue/expense analyses, projections, reports, and presentations regarding the impact of a merger/acquisition on the organization
- Present the valuation findings to the senior management and share his/ her recommendations on the price of acquisition
- Work with investment bankers and other financial advisory firms to seek external inputs, wherever required
- Design and build negotiation strategy and deal structure. Understand the best financial structure for acquiring the target (cash vs. equity) and work with the teams on both sides to fulfill it
- Work closely in the development and execution of purchase agreements
- Understand the value unlocking levers post-merger/ acquisition, and create a roadmap to unlock these levers
- Partner with businesses in executing deals in line with their overall inorganic strategy
- Gain market insights in a timely and proactive manner that may be leveraged in planning inorganic growth initiatives
- Keep abreast of changes in regulatory environment that may potentially impact the company/group and share related analyses and insights within company/group
- Fund raising
Competencies and Traits:
- Ability to demonstrate strong M&A background and depth of understanding
- Good financial modelling and fund raising skills
- Excellent quantitative and analytical skills
- Highly proficient in Excel
