Manager - Merchant Banking

- The candidate would be responsible for due diligence and executions of merchant banking assignments.

- Set-up best Merchant banking practices and frame policies which are in compliance with SEBI and other statutory regulations.

- Advising clients on good corporate governance practices and compliance with various applicable Acts and guidelines.

- Conducting Due Diligence on clients proposing an IPO/QIP.

- Managing IPO at Mainboard/SME Platform of BSE/NSE.

- Preparing various Agreements related to IPOs such as Underwriting, Market Maker, Public Issue Agreements, etc.

- Co-ordination with Legal Advisors for legal due diligence.

- Drafting of DRHP/Prospectus.

- Liaison with clients, legal counsels, registrar, share transfer agents, auditors and other intermediaries in respect of the assignment.

- Handle and co-ordinate SEBI Inspection.

- Framing Policies as required under the Companies Act, 2013, SEBI (LODR) Regulations.

- Manage proper documentation as required by the Merchant banker.

- Excellent oral and written communication skills.

- Strong public speaking skills, addressing seminars and public events if required

- Should have Business Development acumen and ability to identify opportunities and convert into deals.
