Manager - Legal - LLB - FMCG

Vacancy for the role of Legal Manager in a FMCG Company/ Mumbai

Location : Mumbai

Experience : 10 to 15 Years

Qualification : LLB Graduate

Candidate from FMCG or FMCD with experience into IPR (Trademarks) are preferred.

Job Description :

IP related :

- Overseeing IP portfolio for India and overseas business including litigation, assisting in anti-counterfeiting actions and all procedural compliances

- Actively involved in Consolidation, Acquisition & Divestment of brands

- In India & Overseas (including divestment of brand - Sundari- in the U.S., - Derma brands- in Singapore, acquisition of - Paras- portfolio)

- Instrumental in securing well known mark declaration for a key brand through the Mumbai High Court -Conducted internal workshops for creating IP awareness amongst business

- Secured favorable orders in Trademark, Copyright & Design Infringement actions

- Aided/assisted in internal IP audits and through external IP firms, liaised with International and Indian IP firms-Aided out of court settlements in trademark infringement matters

Regulatory & Compliance : Regulatory compliances (FSSI, Drugs & Cosmetics Act, Legal Metrology

- Labeling & Packaging, Competition Act), ASCI standards, mitigating risks through compliances, effective closures of pending PFA cases, Consumer Protection Act (for Kaya Limited)

- Overseeing compliance and legal matters for Bangladesh business including implementation of compliance software

- Compliances under the Corporate Laws, Stock Exchange & Listing regulations including convening of Board and Shareholders meetings, preparing Minutes, handling investor relations, finalizing Annual Report

Documentation and Agreements :

Drafting, Vetting and finalization of :

- Model agreements

- Bank Consortium/Finance agreements

- Trademark Assignment and License Agreements- Inter-corporate agreements

- Promoters shareholding agreement

- M& A related documents including share purchase agreement- Non-Disclosure and confidentiality agreements

- Manufacturing and Distribution agreements

- Service agreements, employment contracts

Sale deed/reversionary rights purchase deed/settlement deed for propertyAdvisory : Advised business on promotional schemes, co-agreements, terms and conditions of webpage and contests, declarations to be made on packages/promotional ads, use of intellectual property rights.
