Designation - Manager Legal & Company Secretary

Location: Chennai

Experience: 10 Yrs (approx. 5 years in legal and 5 years as CS)

Education: LLB and CS (mandatory)

Objective:

To manage the Legal Operations encompassing Legal Strategy Planning, Litigation, Business Partnering, Compliances, Business Divestment, Integration, Factory Compliances etc. Civil, Criminal & Commercial Laws, Corporate Laws, Food Laws and Constitutional Law of India, Legal Metrology Laws, Labour Laws, Sales tax Laws etc.

Key Areas of Responsibility:

- Handling functions pertaining to various legal and statutory matters like preparation of replies of the complaints filed by other parties; attending the legal proceedings of the cases such as civil, criminal, consumer cases, etc. Also preparing brief for Lawyers in the matter of civil & criminal suits and drafting Legal Notices

- Appointing and maintaining sustained contact with legal professionals for initiating and following up on legal procedures

- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under Philips General Business Principles and other Business Laws and regulations and guidelines made thereunder.

- Conceptualizing strategies on factory compliances, recovery of money, high stake arbitration claims, statutory compliances and labor litigation

- Interfacing with various internal departments of the company and customers to resolve issues and ensure collections; supporting the field collection team and executing recovery process through legal proceedings; taking necessary & timely legal action against customers whose accounts are delinquent

a) Advising on arbitration, negotiation and conciliation in commercial disputes between the parties

b) Acting as arbitration/conciliator in domestic and international commercial disputes

c) Drafting Arbitration/Conciliation Agreement/Clause

- Addressed Legal Metrology Issue pertaining to weights and measures, competition law, statutory compliances, etc.

- Conduct Statutory Factory Audits for the company in the factories

- Accomplished Green Field Project-Partnering with the business on expansion plans of Manufacturing Units and devising Legal solutions (Green Field Projects)

- Working in close coordination with Philips India Legal team and Global Legal team

- Entrusted with a gamut of responsibilities encompassing:

a) Reviewing product claims and advertisements

b) Ensuring compliance under General Business Principles

c) Overseeing Advisory Function and Trainings

d) Supporting divestment of business project on legal side wherein one segment of business is getting hived off

e) Handled Advertisements Claims; engaged in advising business on various issues involving advertisements, product claims, etc.

- Involved in government representations with various ministries for amendment in laws

- Promotion, formation and incorporation of companies and matters related therewith

- Filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative

- Maintenance of secretarial records, statutory books and registers

- Arranging board/general meetings and preparing minutes thereof
