JOB TITLE - Legal &amp; Compliance Manager BUSINESS UNIT / FUNCTION - Legal LOCATION - Gurgaon PURPOSE OF JOB: This position will have a dual hardline report to the Head of Legal, APAC as well as Director, Compliance, APAC (ex-Greater China), and will be expected to carry out a wide scope of Legal &amp; Compliance responsibilities as per the Indian laws &amp; regulations and Compliance Policies. Occasional business travel within India may be required. KEY ACTIVITIES / RESPONSIBILITIES: Legal Provide sound, efficient and effective legal services and advice to business functions in India, including: - Reviewing, drafting, advising on and negotiating all forms of agreements; - Ensuring the timely and effective provision of legal advice to internal clients on a wide range of legal issues (such as privacy, competition, intellectual property and employment law issues); - Advising the business on any changes in laws and regulations and cooperating with the functional team to take necessary actions; - Supporting intellectual property related matters including protection and enforcement; - Localizing and developing contract templates, legal related processes and polices for India; - Leading corporate governance related matters for India; - Effective and efficient management and resolution of disputes/litigations; - Supervising external counsel and monitoring billing guidelines/fees; - Support Mergers &amp; Acquisition and Divestment initiatives relating to India; - Managing contracts depositary for India. Compliance - Work closely with country and regional stakeholders to ensure Bausch Health's compliance policies are implemented and maintained - Ensure a continued emphasis on maintaining a strong corporate governance culture, maintaining good and transparent relations with all key stakeholders, both internal and external - Contribute to the development of country specific compliance policies and procedures and code of conduct; conduct compliance trainings and maintaining training records - Conduct periodic reviews and tests to ensure all areas of the business are operating in accordance with relevant laws and regulations, as well as internal policies and procedures, and work with regional Compliance team to implement remediation plans where necessary - Advise country management and functional leaders on new/ proposed legislation, implement sensible changes to Bausch Health's compliance program to comply with new regulatory requirements and/ legislation - Participate in compliance review of potential business acquisitions in the region; work with regional Compliance team to design and implement compliance programs during integration of acquired business - Develop and conduct internal and external trainings to stakeholders SCOPE OF POSITION : - Mature, confident, energetic and independent - Hands-on, results-oriented individual who completes projects in an efficient and timely manner - Strong interpersonal skills and direct communication style - A high level of integrity - Thrives under pressure KEY RELATIONSHIPS India Business Team and supporting functions, Regional Legal and Compliance Team, and all relevant functional stakeholders in the Bausch Health's regional team. QUALIFICATIONS / EXPERIENCE : - Bachelor Degree or above in Law (essential); - Having been admitted to Indian bar (essential); - At least 6 years of experience gained in-house or in a reputable firm including 2 years of experienced gained within a compliance function (essential); - Legal and/or Compliance experience in pharmaceuticals/medical device industry (desirable); - Strong knowledge of Indian legal and compliance laws and regulations; - Excellent verbal and written communication, analytical and organizational skills; - Thrive under enormous pressure and be able to handle multi-tasks and work independently; - Ability to identity, assess and navigate legal and compliance risks; - Demonstrate creative problem-solving skills; - High level of integrity and honesty; - Meticulous, and with great attention to details; - Solution-focused, resourceful and show initiative; - Strong analytical and decision-making capabilities; - Ability to work independently as well as in a team in a fast-paced and lean organization; - Fluent in written and spoken English; - Hands-on and quality-driven.
