Position : Manager - Legal &amp; Company Secretary Grade : 5 Reports to : Group Chief Financial Officer Responsibilities : Key Performance Indicators : - Legal &amp; Strategic compliance : Providing expert and strategic legal advice to management matters and executing the actions on the following - Company Law and Secretarial Practice - Other legal matters - Contract negotiations with clients and vendors - Advising business (regarding potential compliance / legal issues in the deal and offering suitable solution to the issue Coordinating with Insourcing teams and identifying potential Legal risks in those insourcing deals. - Participating in the due diligence process of the insourcing deals. - Drafting employment agreements that minimize risks and maximize legal rights of the company - Advising Management for organizations- HR Policy framing on legal aspects and its impact on the Company - Litigations raised by employee - Representing Organisation before Govt. Authorities on various compliance / legal notices related issues 50% Risk mitigation and process improvements : - Anticipate legal issues and estimate risks strategically and identify proactive solutions that will eliminate or mitigate legal risks - Ensure that all our current processes are legally valid - Ensure that all our current documents that we use and also the future documents that we make with respect to employment pass the test of law - Also to verify that our policies that are in practice in India would be legally tenable if challenged - Dealing with external counsel on all employment related issues - Dealing with complex, significant matters that cut across legal and employment related areas 30% - Keeping abreast of all employment/ legislative changes relevant for our business 20% Education &amp; Experience : - CS and Bachelor of Law with minimum 6-9 years of relevant experience in Employment/Labour Laws. - Should have proven a track record - Should have an excellent communication and interpersonal skills - Should be proactive in her/his approach
