Manager - Legal - CA/LLB - BFSI

Urgent Position with one of the trusteeship company for the position of Legal- Manager.

Required Qualification : CA & LLB

Job Responsibility :

- To draft all legal documents required for AIF transactions as per the timelines

- To vet the legal documents as required

- To review the AIF transactions and provide comments for any changes/improvements in alignment with the framework

- To liaise with external legal counsel for advise on specific transactions/requirements

- To keep track of all legal circulars/high court judgements and update the internal team

- To ensure all legal documents prepared/vetted as in alignment with changes made in the legal framework

- To coordinate with SEBI for registration of AIFs as required

- To ensure all documents sent to SEBI for registration are as per the compliance requirements

- To follow-up with SEBI for AIF registrations

- To collect the registration certificate from SEBI

- To communicate the receipt of the registration certificate to all applicable stakeholders for future processes

- To make changes in the document if any changes/amendments are required in the documents & ensure registration for the same is completed with SEBI within the timelines

- To provide Legal OK for all AIF transactions post required checks are completed

- To support the AIF operations as required

- To liaise with BD team for all AIF transaction deals and provide legal advice to clients as required

- To advise the Investment Managers of AIF transactions on all legal compliances and matters as required

- To liaise and discuss with clients for all Trust Deed documents, Investment Manager Agreement, Contribution Agreement and Private Placement Memorandum and suggest changes as required

- To act as legal counsel in transactions where we have drafted the above mentioned 4 document s

- To handle all day-to-day queries/issues raised by clients within the agreed timelines

- To regularly research on legal frameworks/ amendments/ changes and communicate to all stakeholders accordingly

- To contribute towards development of new products/ changes in existing product as per the changes in legal framework

- To liaise with BD and Operations team for all legal advisory/ issue resolutions for all AIF transactions as required
