Manager - Legal - BFS

- Drafting and review of agreements, policies and procedures

- Drafting and review of agreements (Investment Advisory/Management Agreements, private equity investment fund documentation, ISDA/GMRA Agreements, Share Purchase Agreements, Shareholder Agreements, Lease Deeds, Facility Agreements, Software Agreements, Confidentiality Agreements, Service Agreements etc.).

- Projects Mergers and Acquisitions

- Incorporation and winding up of companies, reorganizations and other corporate structuring.

- Setting up and liquidating investment fund structures/SPVs.

- Other legal work Keep abreast of new rules and regulations, advising the reporting manager on the applicability of new rules/regulations and its impact on current business operations.

- Examine legal and compliance issues related to new products.

- Assist in maintaining relationship with banks/financial institutions, KYC compliances, FATCA/CRS etc.

- Liaise with other departments and group entities on various legal matters, liaise with external lawyers.

- Assist in maintaining proper legal documentation.

- Regulatory Compliance Ensuring compliance of regulated investment management entities that includes filings with the regulatory authority, replying to queries from regulators, co-ordination with internal and external auditors, AML compliance, sanctions, data protection etc.

- Company Secretarial Drafting of Board meeting minutes, resolutions, share transfers, name change, Articles amendment, regulatory filings etc.

- Policies & Procedures Drafting and review of policies and procedures related to the Company including but not limited to Anti-Money Laundering, Sanctions, Data Protection, Investment Management, Compliance etc.
