Job Description : - Must have the experience of Budgeting and costing. - Must have done client interaction in terms of actual costing/ product variance to the customers. - Responsible for overall finance and accounts. - Consolidation of accounts. - Funds management/planning and allocation. - Ensure effective costing and budgeting system and in line with guidelines laid - Down by Corporate Finance. - Continuous review and streamlining of systems and procedures to strengthen the internal control systems. - Review and analysis of financial and costing MIS. - Negotiate with banks for working capital limits. - Ensure timely filing of returns for working capital. - Ensure timely accounts and audit. - Liaison with auditors, consultants, banks etc. - Co-ordinate the budget preparation. - Monitor budgets against actual performance. - Review and approval of various vouchers (more than certain amount and of specified nature) - To carry out other tasks as assigned by the management from time to time. - Corporate Governance and Secretarial Services; - Advising on good governance practices and compliance of Corporate Governance norms as - Prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines. - Assists in developing a corporate and social sustainability framework. - Handles the promotion, formation and incorporation of companies and matters related therewith. - Responsible for filing, registering and document including forms, returns and applications by and on behalf of the company as an authorized representative. - Coordinate the board/ general meetings and follow-up action thereof. - Manages all tasks relating to Securities and their transfer and transmission - Acts as the custodian of corporate records, statutory books and registers. - Manages the Secretarial / Compliance Audit. - Signing of Annual Return wherein necessary and responsible for other declarations, attestations and certifications under the Companies Act, 1956. - Corporate Law Advisory and Representation Services; - Advices Nagata on Compliance of legal and procedural aspects under various corporate laws and acts particularly relating to Securities and Exchange Board, Foreign Exchange, Consumer Protection, Environment, Labor, Mergers and Acquisitions, Foreign Collaborations and JV- s, subsidiaries, Competition. - Will be responsible to represent Nagata and other connected persons before various boards and forums including but not limited to Company Law Board, SEBI, Registrar of Companies, Tax Tribunals, Consumer Forums and Other quasi-judicial bodies and Tribunals. - Financial Market Services - Not Immediately but possibly involved in Public Issue, Listing and Securities Management - depending on Company Strategy. - Responsible for compliance with rules and regulations in the securities market. KEY RESULT AREA: - Work very closely with Finance &amp; Legal Departments. - Frequent interaction with Executive Management. - Efficient funds management for Nagata Group (India Operations) companies in India. - Timely preparation of budget and MIS. - Timely and accurate preparation of accounts. - Good relations with bankers/FIs. - Effective analysis of financial and operating data with a view to facilitate decision making.
