Title: Manager / Deputy Manager - M&A
Responsibilities:
- Assist with and advise on complex transactions, group reorganizations, tax-efficient acquisitions and disposals of shares or businesses;
- Implementation of the scheme of the arrangement, scheme of amalgamation, capital reduction, etc. through NCLT;
- Assist and advise on share buybacks;
- Assist and advise on inbound and outbound investment structuring;
- Project manager and perform vendor and buy-side tax due to diligence reviews and prepare detailed tax due to diligence review reports.
Minimum Qualifications:
- Chartered Accountant (additional qualifications such as Company Secretary, LLB, etc. would be preferred)
Experience:
- Post qualification working experience of 3-5 years
Desired Experience includes:
- Work experience in Corporate Tax and/or M&A Tax
- Preparation and filing of corporate tax returns
- Direct Tax litigation and Tax Due Diligence Reviews
- Tax Structuring experience
Professional Technical Capabilities:
- Laws and Rules expert knowledge of direct tax laws (including international taxation) and good working knowledge of Corporate Laws, SEBI Laws and Regulations, FEMA and FDI policy, Stamp Duty laws, a basic understanding of accounting and accounting standards to determine their implications on clients
- Corporate restructuring - Evaluate alternatives considering the business objectives and evaluate implications from tax and regulatory perspective
- Deal Structuring - Evaluate tax and non-tax considerations
- Documentation - Review key transaction documentation (e.g., share purchase agreement, business transfer agreements, and key transaction documents) to quantify the impact to client and recommend changes to protect client interests
- Due Diligence - Conduct tax due to diligence to identify potential tax exposures
