Responsibilities :
Main Purpose of the Job :
Oversight over Corporate Governance at Group Companies and monitoring compliance across Group Companies.

Oversight over Corporate Governance
Key Activities :
- Oversight on the corporate governance function.
- Facilitate group companies in aligning their corporate governance function with that of the Organization.
- Conduct due diligence, analyze Joint Venture and other agreements and perform gap analysis
- Implementation of Policies on various matters to bring uniformity and transparency across the group companies and to comply with the law.
End Results :
- Providing support and monitoring the corporate compliance of Group Companies
Key Activities :
- Stay update with the key regulatory changes and their impact and applicability on group companies (E.g. New Companies Act, SEBI laws, etc)
- Liaison with the central function of the organization towards smooth implementation of the regulatory changes
- Monitor the secretarial and other regulatory compliance.
End Results :
- Board Governance
Key Activities :
- Maintain a database of Independent directors and company nominees, both current and potential members on the Board
- Develop the processes and parameters related to performance evaluation / self- evaluation of performance of Board, Board Committee and Board of Directors as per the requirements of law and in alignment with the company processes.
- Facilitate the Group Companies to complete the performance evaluation exercise on a timely basis.

- Communication Platforms & Group Synergies

- Organizing various communication platforms to promote synergies among the Group companies such as CFO Meet, Independent Directors Meet,etc
Threshold Skills And Capabilities Required To Perform This Job :
- Excellent Communication Skills (Written & Oral).
- Comprehensive knowledge of Business functions of a company.
- Knowledge of various elements related to performance monitoring, performance evaluation of Board & MD, Capital expenditure governance framework and developing Group synergies.
- Adept at secondary research and knowledge of various online databases for developments in the Industry, Policy, Regulatory space.
