Manager - Company Secretary & Legal

Brief Job Profile :

- To cater to necessary legal as well as secretarial aspects required in the organisation.

- Providing legal opinion from time to time on various legal aspects.

- Ability to research and understand the legal requirements for signing any unique agreements or complying with new legislation.

- Liaison with various stakeholders including members of Board of Directors, Government agencies, land lord port, insurers, legal advisers, contractors, vendors, etc. on issues relating to compliance / legal affairs of the organisation.

- He / She will be responsible to all Secretarial as well as Legal requirement of the company.

Should have experience in the following areas:

Secretarial :

- Conducting Board Meetings, Audit Committee Meetings, AGMs and other meetings formally.

- Board meeting Agenda preparation, Drafting Minutes of the Board meeting.

- Compliance of Companies Act, 1956 / Companies Act 2013

Legal :

- Drafting, review and negotiation of Contracts

- Drafting, review of policies, procedures

Compliance :

- Assistance in Compliance function including License agreement and EOU/EPCG compliance

Claims :

- Settlement of claims arising due to incidents involving company and / or 3rd Party

- Total follow-up with appointed Insurer and insurer appointed Surveyor

- Recovery of admissible claim amount from responsible 3rd Party

Risk & Insurance Management :

Coordinate Risk Management function & Insurance :

- Ensuring insurance coverage of assets and business interruption.

- Procurement and renewal of insurance covers.

- Periodic review of insurance coverage and asset reconciliation.

- Claims handling and insurance recoveries for property damage and business interruption.

Other Required skills :

- Exposure to the work culture of international corporations or law firms.

- Strong legal background in corporate law with in-depth knowledge of commercial contracts

- Reasonable exposure to litigation, drafting of various types of agreements, plaints, suits etc

- A qualified Company Secretary and Bachelor of Law with 5 - 8 years of experience in legal and secretarial functions with large manufacturing / FMCG / FMCD / Logistics / Cargo / Pharma companies

Reports to : CEO / CFO

Comp range : 15 lacs

Location : Mumbai
