Job Purpose:

- The incumbent is responsible for managing the Legal department effectively and efficiently, providing legal advisory services, ensuring management of legal and contractual risks, compliance management, contract management, and maintaining a central repository of legal documents.

- The ideal candidate should be a highly motivated and detail-oriented Legal and Secretarial Specialist with a focus on contract management and secretarial compliance, crucial for maintaining strong business relationships and minimizing legal risks for the organization.

Job Outline:

Draft and Review Contracts:

- Create, review, and revise various contracts, ensuring alignment with organizational policies and legal requirements.

Compliance Management:

- Monitor and ensure adherence to contractual terms and obligations.

- Track critical milestones and deadlines to maintain compliance.

Legal Research:

- Stay updated with relevant laws and regulations.

- Conduct legal research to support contract drafting and compliance.

Risk Mitigation:

- Identify potential risks in contracts and collaborate with legal counsel to mitigate them.

- Develop strategies to minimize contractual risks and disputes.

Documentation and Record Keeping:

- Maintain organized records of contracts and related documents.

- Develop a systematic filing and retrieval system.

Communication and Collaboration:

- Facilitate contract negotiations and resolve compliance issues with internal departments, external partners, and legal counsel.

- Provide contract-related guidance and training to departments.

Secretarial Functions:

- Assist in managing secretarial responsibilities as per the Companies Act, 2013.

- Maintain statutory records and registers, record minutes, file documents with regulatory authorities, and respond to notices.

Job Specification:

Knowledge / Education:

- Bachelor's degree in law.

- Membership with the Institute of Company Secretaries of India (ICSI).

Specific Skills:

- In-depth knowledge of contract law and legal/regulatory compliance.

- Proficiency in contract management software and tools.

- Strong organizational skills and attention to detail.

- Problem-solving skills in a fast-paced environment.

- Knowledge of company laws, regulations, and secretarial practices.

- Excellent communication, interpersonal, and negotiation skills.

- Ability to work independently, manage multiple tasks, and meet deadlines.

- High ethical standards and integrity.

Desirable Experience:

- 4 to 5 years in a relevant field.

All departments within the organization.

Consultants, lawyers, government agencies, auditors.
