About the Opportunity : Role : Company Secretary Level : Manager Legal Reporting to : Director and Head CS Location : Gurgaon What You are required to bring to the team : As Corporate Counsel at Go-MMT, you work on the most exciting legal issues requiring creative and proactive legal guidance. You are part of a whip-smart group of in-house lawyers and the projects and cases you take on challenge you to think big and differently. You are collaborative -- ready to partner in initiatives that influence all aspects of the business and work with Go-Trippers from all over the company. As an integrated part of the team, you proactively assess legal risks and advise on the same. Go-MMT Legal team crafts innovative approaches for working with some of the toughest legal challenges of today. The company secretary is a building block of a company; he must perform his duties with reasonable care. Other than being a legal mentor he must ensure all business procedures to be matching with all legal provisions. What will you be doing : CORPORATE GOVERNANCE AND SECRETARIAL SERVICES - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines - Assists in developing a corporate and social sustainability framework - Handles the promotion, formation and incorporation of companies and matters related therewith - Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative - Coordinate the board/general meetings and follow-up actions thereof - Ensure the implementation of and monitoring the effectiveness of whistle blowing procedures approved by the Audit Committee; - Drive a culture of compliance, including leadership in training and investigations - Manages all tasks relating to Securities and their transfer and transmission - Acts as the custodian of corporate records, statutory books and registers - Manages the Secretarial/Compliance Audit - Signing of Annual Return where necessary and responsible for other declarations, attestations and certifications under the Companies Act, 1956 CORPORATE LAWS ADVISORY AND REPRESENTATION SERVICES - Advises the organization on Compliance of legal and procedural aspects under various corporate laws and acts particularly relating to Securities and Exchange Board, Foreign Exchange, Consumer Protection, Environment, Labor, Mergers and Acquisitions, Foreign Collaborations and JV- s, subsidiaries, Competition, etc. - Will be responsible to represent the organization and other connected persons before various boards and forums including but not limited to Company Law Board, SEBI, Registrar of Companies, - Acts as Advisor/consultant in issue of shares, ESOP's and other securities in India and financial market services abroad - Not immediately but possibly involved in Public Issue, Listing and Securities Management depending on Company Strategy - Responsible for compliance with rules and regulations in the securities market OTHER DUTIES : - Participate and assist Banking Services, Finance and accounting Services, Taxation Services, Information Technology - Will also assist, participate, partner with internal and external stakeholders in areas of : a. Corporate Social Responsibility b. Communication with various stakeholders, like Shareholders, Government, Regulators, Authorities etc. c. Industrial and labor laws Interaction Points : - Works very closely with the Finance and Legal departments - Frequent interaction with executive management (CEO, BU heads, HR, ITetc) Qualification &amp; Experience : - Bachelor of Law - CS with minimum 8-10 years of relevant experience Key skills for the Role : - Strong administrative skills and an aptitude for using IT software - Ability to Manage, motivate and lead staff to ensure the delivery of objectives - Commercial awareness - Meticulous attention to detail - Interpersonal skills - Influencing skills - Excellent organisation and time management - The ability to take the initiative - A flexible and practical approach to work - A sound grasp of corporate governance issues - Discretion and diplomacy.
