Operational Goals  A person who can perform most of following functions.  1. Arranging, compiling and providing information / inputs required by other departments   2. Supervising and vetting of preparation of Notices, Agenda Notes, Minutes and other back-up papers for convening the Board Meetings, General Meetings and various Committee Meetings and preparation of all relevant documents and compliance of Listing Regulations and NBFC regulations.  3. Preparation of necessary papers / documents for issuance of shares, debentures, warrants and other securities of the Company   4. Assist in Amalgamation and Merger of companies and Acquisition of shares.  5. Supervising and vetting of preparation, maintenance and updation of various Statutory records, Returns, filings of forms with MCA and other documents as applicable under Companies Act, SEBI Law, RBI Guidelines, and other Statutes and supervising of MIS of various information  6. Assist in IPO related work.  Job deliverable of   1. Inter Departmental Legal, Finance, Accounts, Tax, etc. and providing necessary information  2. Secretarial and Statutory Auditors and with due diligence team and completing all related work  3. All routine Compliances including technical part like filing forms, supervision of and guidance to the CS staff  4. Preparation of Annual Reports, Notice, Agenda, Directors Report, Minutes documents related to Directors and ensuring compilation and regular update of all statutory records  5. Helping and undertaking compliances of various covenants under the terms of finance documents i.e. domestic and overseas borrowings / issue of bonds  6. Keeping update on recent modifications / amendments in Company Law, rules and regulations  7. All other CS functions related to Listed Companies, public company, private company, NBFC, LLP, foreign subsidiaries etc.  Desired Candidate Profile  Min 3 years experience post CS qualification  Excellent communication and presentation skills  Team work  Can manage and perform with work pressure.
