The job holder is responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks, Compliance Management and Contract Management at Central Repository of legal documents.

1. Draft and Review Contracts:

- Create, review, and revise contracts, including but not limited to vendor agreements, customer contracts, partnership agreements, and confidentiality agreements.

- Ensure contracts are aligned with the organization's policies and legal requirements.

2. Compliance Management:

- Monitor and ensure compliance with contractual terms and obligations.

- Track critical milestones, deadlines, and performance metrics, and alert relevant stakeholders to ensure adherence.

3. Legal Research:

- Stay updated on relevant laws and regulations to ensure all contracts and agreements remain compliant.

- Conduct legal research when necessary to support contract drafting and compliance efforts.

4. Risk Mitigation:

- Identify potential risks and issues in contracts and collaborate with legal counsel to mitigate them.

- Develop strategies to minimize contractual risks and disputes.

5. Documentation and Record Keeping:

- Maintain accurate and organized records of all contracts and related documents.

- Develop a systematic filing and retrieval system to ensure easy access to contract information.

6. Communication and Collaboration:

- Work closely with internal departments, external partners, and legal counsel to facilitate successful contract negotiations and resolution of compliance issues.

- Provide guidance and training to Departments on contract-related matters.

7. Secretarial Functions:

- Assist CFO in managing secretarial responsibilities as per the Companies Act, 2013.

- Maintain and update the statutory records and registers.

- Record minutes of Audit Committee, board meetings, general meetings, and committee meetings.

- File necessary documents and forms with MCA/ regulatory authorities and ensure timely submissions.

- Respond to notices as and when received as per requirement.

- Manages Organization secretarial compliance as per the legislations and time frame.
