Job Purpose:


He / She will be responsible for vetting, drafting and finalisation of legal agreements. He / She is expected to provide advice to Management on various legal aspects governing any particular agreement and to safeguard the interest of the of business through legal mechanism.

Principal Accountabilities:

Contract Management:

1. Vetting and drafting of various kinds of agreements:

- Lease agreement, Leave and License Agreement

- Service-level Agreement

- Vendor Agreement

- Digital Platform Agreement

- ISDA

- Distributor Empanelment agreement

- Shareholder / engagement agreement

- Recruitment consultant and training partners agreement

- Banking and Credit line related agreement

- Such other agreement as is necessary for the business

2. Contract / Agreement Management (proper documentation and upkeep of all agreements, contracts and their renewals on timely basis)

3. Vetting and drafting of various Terms & Conditions related to various processes and advise business from time to time.

4. Review and participate in the negotiation and approval of material contracts / agreements.

5. Work and coordinate with external consultant for filing of IPR application with appropriate authority.

6. Drafting of various process notes on legal agreements, keeping their repository and tracking timely actionables on the same.

Dispute / Litigation Management:

1. Drafting and responding to various kinds of notices, business letters and communications.

2. Co ordinating with external lawyers and counsels for litigation management and seeking legal opinion as may be necessary for the business or pursuant to a response to any regulatory notice.

3. Drafting and responding to investor / lawyers' on various legal notice / complaints.

Training:

1. Develop and provide training programs for legal functions on contractual, intellectual property, where necessary.

Ancillary:

1. Maintaining records and MIS of Agreements, Notices and Licenses.

2. Franking / stamping of Agreement.

3. Conducting research on new legal developments and case laws, preparing summary for the management.

Compliance Support:

- To provide support to the team on various compliance or secretarial actionable as may be necessary including working on any routine compliance reporting or regulatory actionable.

Decisions:

- To assess liability, confidentiality clause and ensure the interest of the Company is always protected.

Challenges:

- To ensure timely vetting and drafting of various agreement received, in consultation with other business stakeholders.

Interactions:

Internal Clients:

- Roles you need to interact with inside the organization to enable success in your day-to-day work

- Needs to work closely with investment team, operations team, marketing team, IT team, Product team, HR team.

External Clients:

- Roles you need to interact with outside the organization to enable success in your day-to-day work

- Coordination with external service providers / lawyers
