Role: Corporate Legal - Manager Location: Mumbai / Delhi / Chennai Qualification &amp; Experience: LLB Degree (5 years Integrated Course - Preferably top National Law Universities) with 3-7 years experience in Banking/Law Firm/Practicing Lawyer Job Summary: Effectively handle &amp; manage, standard and NPA accounts of large corporates. Draft, vet and negotiate, various facility agreements, Bilateral/CDR/JLF. Effectively manage litigation of large corporate accounts in DRT/DRAT/High Court/Supreme Court and other forums. Good grasp and knowledge of Corporate Laws, RBI Rules, Regulations &amp; Guidelines, RDDBFI Act, SARFAESI Act, CDR Mechanism, SEBI Guidelines. Key Responsibilities: - Support the Business Group ineffective handling, management and resolution of standard and NPA accounts for the Bank. - Drafting, vetting and negotiating various facility documents, security documents, contractual comforts, corporate authorizations etc. for restructuring corporate accounts. Negotiate requisite documents with internal as well as external stakeholders. - Advise Business Groups in matters pertaining to CDR Mechanism, JLF Guidelines, RBI Rules, Regulations and Guidelines, Corporate Laws &amp; SEBI Guidelines. - Liaison with authorities and quasi-judicial authorities and assisting Business Group in the investigation processes initiated or pending with CBI, CID, Police Stations, Magistrate Courts, etc. - Provide legal protection and risk management advice to Business Group. - Provide and interpret legal and regulatory updates, conduct training and disseminate knowledge to team members and Business Group. Policy development : - Review and advise Business Group on legal implications of internal policies and procedures. - Review and draft contracts, agreements, and internal policies and ensure that they are in compliance with all statutory or legal requirements. Litigation management : - Regular review of the progress of outstanding litigations and liaise with and manage external lawyers. - Drafting, vetting, the filing of requisite petitions, pleadings and applications in various courts for cases filed by and against the Bank. Briefing Attorneys, Lawyers, Counsels etc. for appearing on behalf of the bank in various forums.
