Specific Duties and Responsibilities:

1) Sound understanding of laws, rules, and regulations applicable in respect of private equity transactions.

- Review of SPA / SHA/ SSHA

- Independent negotiation of deal documents with law firms involved

- Clarity on FEMA / Stamp duty aspects in respect of the deals.

- Capability to run the transaction independently, owing responsibility and acting as team player in closure of the transaction

- Market intelligence.

2) Participating in calls to close agreements, client queries.

3) Specific project related work for e.g. if we are acquiring a stake in some company through an AIF then there will be a share purchase agreement and other documents relating to the transaction such as tax opinion, hold harmless/duty of care letter, undertakings or other correspondence.

4) Sometimes there may be a lending transaction wherein the documentation work involved would be review of term sheet (this may go through several iterations), transaction documents (master financing agreement, pledge agreement, deed of hypothecation, trust deed, undertakings, non-disposal undertakings).

5) Addressing queries of various teams which are of legal nature and which would require analysis of law, interpretation of law, review of judgements, customs and practices.

6) To assist teams in execution of agreements (to obtain stamp papers, print the agreement, get the same executed by department head).

7) Co-ordination with law firms/outside counsels for obtaining opinions, review of contracts (when specifically required in the given case).

Basic Function:

1) To review contracts.

2) To standardise contracts/documents.

3) To advise teams on various legal queries.

4) To handle litigation, complaints, notices from regulatory authorities.

5) To negotiate contracts/agreements such that they are closed, and business teams can move forward.

Education & Experience:

Qualification: LL.B./ LL.M.

Experience: At least 10 years of work experience in legal.

Knowledge Required: Candidate should have worked in financial services industry preferably with a Fund or NBFC or a corporate law firm

Additional Certifications: Any additional qualifications such as course in securities laws, CS etc. will provide an edge
