Title Lead Counsel - EMEU Legal Department&nbsp; Qualification LLB from leading Law School LLM (optional) Total Experience 4 - 6 years Reporting Manager Senior Legal Counsel Territory Emerging Markets and Europe (EMEU) Designation DII - Senior Counsel Job Description - Assist in managing and advising the regional business teams on legal and commercial risks associated with transactions, their potential impact and suggest mitigating measures - Serve as legal contact for all matters pertaining to specific state/country laws and regulations as applicable to the business - Act or assist as a corporate advisory to business to provide insights on critical business risks on existing as well as new ventures, to facilitate informed decision making by leaders (such as during set up of the new branch office, JV exits, etc.) - Make or assist in making reasoned and logical decisions in relation to the legal matters pertaining to corporate and commercial issues, implementation of contracting procedures and legal processes. - Drafting and review of various agreements relating to business, supply and distribution, licensing, logistics, marketing, and sales, medical services, procurement, contacts manufacturing, technology transfer, IP licensing - Create and regularly update standard contract templates for ease of use across different types of contracts, draft, review and negotiate a broad range of contracts for medium to complex engagements in line with the business' requirements and escalate variance from contracting policy or unusual risks to the manager as required - Awareness of pharma regulatory, property, labor and employment matters and related law in Emerging Markets and Europe - Identify and create a specialist panel of lawyers, (separately for commercial, IP, employment, regulatory, litigation, etc., and maintain an ongoing relationship with them and seek legal advice from the expert panel on critical aspects related to local regulations and laws - Regularly interact with KOLs to keep abreast of the latest legal trends and practices - Assist the business teams in understanding risks and providing mitigating solutions, help the Compliance Team in driving compliance activities in the region and assist implementation and adherence to compliance framework, escalate wherever required, critical non-adherences and risks, to the Compliance Team for risk mitigation - Legal research and providing analysis reports. - Understanding of financial and commercial terms in Contracts. - Understanding of important laws and statutes having a business and commercial impact on the organization's operations. - Should be adept to creating an organized and systematic process driven work culture.
