Summary :
- Pro-actively engage and support the Legal Head in dealing with all matters relating to secretarial compliance's, contract management, compliance management and other legal matters
Key Responsibilities :
Company Secretarial :
- Be responsible for and ensure compliance with corporate laws for all group companies in India including compliance's under Companies Act and FEMA
- Assist with research, structuring and compliance's under FEMA, with specific focus on FDI policy matters for multi brand retail, single brand retail, wholesale trade and e-commerce
- Assist with carrying out board meetings, committee meetings, shareholders meetings and preparation of all documentation connected therewith
- Ensure timely filings of all statutory forms and documents and up-to-date statutory registers and records.
- Assist in corporate actions and ongoing compliance with various key matters like related party transactions, CSR, share allotments/transfers, board processes etc.
Contract Management :
- Review, negotiation and closure of company contracts, agreements, letters and other documents
- Coordinate with all internal and external stakeholders and ensure adherence to set contract management process and contractual risk analysis process
- Constantly review and update the contract management process, make improvements and bring in value-added changes with a view to make the system robust
- Research into various legal and regulatory changes and updating the legal team and internal stakeholders of key impact on business
Compliance management :
- Advise on compliance requirements applicable to business, in coordination with internal stakeholders and external advisers and consultants
- Manage company's online compliance management system and address internal stakeholders- queries effectively and in a timely manner
Other Legal Responsibilities :
- Assist the legal head in various matters pertaining to secretarial activities and compliance's
- Provide letters of authorization, powers of attorney whenever required
- Work closely with internal customers for a general understanding of the business and provide appropriate legal support
- Help establish a process driven approach in the department and improve the existing processes
- Create and manage an effective MIS
- Be an effective team player and provide motivation, guidance and support to reportees
Desired Candidate Profile:
Experience : 8 - 10 Years of relevant experience
Education : Graduation + CS+ LLB
