Job Description
Your responsibilities will include:
- Handling complete on ground responsibility of client assignments given to you. Support manager/Director on various aspects of the transaction as per the requirement of the assignment. Support of Associate/ Analyst will be available as per the requirement of the assignment.
- Taking lead on identifying potential targets/ investors/ collaborators for domestic/ cross border M&A transactions. Keeping track of research being conducted for Indian foreign clients/ companies
- Preparing/ Coordinating pitch presentations to obtain new mandates
- Preparation/ review of term sheets/ definitive agreements pertaining to the transaction
- Coordinating with due diligence team/advisors to track progress of due diligence and identify bottlenecks to the exercise and resolving the same on a timely basis. Coordinating and managing the financial, tax, commercial and operational due diligence process in a transaction
- Flagging major issues and bringing the same to attention of the Manager/Director on a timely basis at various stages of transaction lifecycle
- Assistance and guidance in finalization of the transaction documentation including the initial Information Memorandum, financial model and the definitive agreements
- Project management and execution
- Build a strong network with peers and professionals in the field.
- Review of due diligence reports and identifying shortcoming/critical points for attention of buyer/ seller which may relevant from future discussions and negotiation standpoint
- Contributing during discussions/negotiations with various stakeholders
- Preparing proposals, engagement letter and ensure compliance with risk processes
- Manage flow of control among associates/analysts and keeping a track of progress
- Preparation of pitch decks/ teasers/ information memorandum/brief profiles of target companies / businesses
- Reaching out to identified companies in India / overseas from Business Development and having an initial discussion/ conversation with the promoters/ senior management personnel
- Preparation and review of business models/ business plans/ financial projections. Undertaking thorough financial analysis of businesses and target companies
- Managing data flow and data rooms for investors
- Interacting with relevant stakeholders (investors, lawyers, promoters, senior management personnel, finance team etc) to facilitate smooth transaction flow and achieving transaction closure
- Analysing the financial and operational positioning of portfolio companies to proactively suggest exit / strategic options including JV / partnerships, acquisitions or divestitures
- Assisting the Manager/ Director in building a healthy pipeline of opportunities and mandates in the identified areas of fund raise / M&A engagements
- In-depth knowledge of Business Modeling and valuations required for CF engagements, and ability to analyze and envisage new / key industry trends
- Keep abreast of new developments in the business, the industry and the regulatory environment relevant to the job profile.
