- Manage all Company Secretarial activities for Kotak Investment Banking. - Ensuring meticulous compliance with the Companies Act, 2013 & Rules and advising the Senior Management on compliance and latest developments under the Companies Act, and SEBI regulations. - Coordinating and arranging various board level and internal committee meetings, Annual General Meetings, and Extraordinary General Meetings and regular close coordination with holding company and Group entities. - Preparing agenda, drafting minutes, circular resolutions etc. - Reviewing various practices and also policies of the organization and advising appropriate changes. - Ensuring all the pre and post meeting formalities including filing of various e-Forms under the Companies Act, 2013. - Ensuring all filing requirements under the SEBI regulations applicable for a merchant bank. - Coordinating for Secretarial Audit and various certification activities under the Companies Act. - Coordinating with Statutory Auditors, Internal Auditors, Finance and Accounts, HR and various other departments in connection with Secretarial and Compliance activities. - Assisting Compliance Officer in Compliance and Legal function. - Drafting and reviewing legal agreements and documentation entered into by Kotak Investment Banking
