Job Profile: Investment Manager

Purpose : To enable effective management of pipeline and portfolio companies..

Function : To be the key point of contact and interaction between the companies and the Fund Advisor ensuring that the companies meet their obligations to the Fund to the maximum extent possible.

Key responsibilities :

Pipeline companies:

- Scouting and screening investment opportunities.

- Actively searching secondary sources - e-media, databases, print media

- Attending appropriate trade events

- Leveraging personal and business networks

- Evaluating opportunities and taking short-listed companies through the investment process as per AVMS's specified procedure.

- Clearly understanding business model - ESR impact, market gap sought to be addressed

- Planning of due diligence with team leader

- Analysis of financial model as presented and identifying key assumptions

- Building the in-house financial model as determined by the team leader

- Leading negotiations with selected portfolio companies and closing the deal with documentation

- Clearly understanding the terms of the investment as agreed-upon between the promoter and the team leader

- Preparing and getting the term sheet signed

- Coordinating the appointment of the legal and accounting firms for the due diligences and document drafting

- Ensuring compliance of pre-investment conditions by the company.

Portfolio companies :

- Ensuring compliance with post-investment requirements of portfolio companies.

- Ensuring adherence of portfolio companies with all statutory requirements.

- Working with managements to develop systems, policies, processes, budgets, MIS and other systems.

- Ensuring accounts are maintained as required.

- Ensuring internal and statutory auditors are appointed as required and keeping abreast of audit developments.

- Ensuring that MIS reports are received as required.

- Analysing MIS reports and working with companies to take corrective action in case of negative deviations.

- Flagging major potential problems and escalating them to the appropriate Senior at AVMS.

- Any other portfolio-company related task as is necessary to enhance the value of the company to the Fund.

Relationship Management :

- Building relationships with the promoter and key management personnel.

- Assisting company with obtaining appropriate publicity

- Directing company to appropriate trade

- Introducing company to appropriate financiers (equity and debt)

Commercial :

- Ensuring compliance with all CS's

- Ensuring compliance with terms of SHA, in particular:

- Ensuring recruitment and remuneration as committed

- Formation and management of Compensation committees, including fixing performance targets for performance-based pay

- Formation and management of Audit committees

- Procuring a comprehensives compliance calendar and ensuring timely compliance with statutory requirements

- Coordinating between the company and the Aavishkaar nominee directors

- Ensuring that the director's liability insurance is kept current

- Quarterly budgets for the next 4 quarters to meet agreed-upon targets

- Ensure monthly MIS formats capture the critical parameters

- Monitoring of actual performance through monthly MIS, Quarterly revision of budgets

- Forecasting cash balances for the next 12 months

- Ensuring timely reporting of quarterly and annual finances

- Assisting in future rounds of fund raising
