RESPONSIBILITIES & TASKS : ( Key Responsibilities & tasks carried out by the Position in line with Job Objective ) Transaction Structuring & Closing Exit Agreements - (1) Identifying the optimal structure for exit transaction; (2) negotiating and finalizing term-sheet & share sale agreement (with all the relevant exit clauses) with potential portfolio companies; (3) ensuring that the transaction structure addresses regulatory, tax, compliance, and other issues; (4) ensuring all closing activities and conditions precedents/subsequents.
1. BASIC ROLE INFORMATION:
Financial - (1) Creating financial and operational business model for portfolio companies; (2) Creating detailed analysis of potential exit opportunities; (3) understanding the company's past financials results (including balance sheet and P&L accounts)
Accountable to (position) :
Portfolio Company Management & Data Management :
(1) Keeping upto date on latest business and financial operations of the portfolio company; (2) working with portfolio companies on management information systems, analysisng MIS info and reporting red flags and trends; (3) Maintaining strong relationship with portfolio companies (4) providing the management of the portfolio company with support and advice on business & strategic initiatives (5) providing introductions to the portfolio company such as for recruitment of key executives, acquisition opportunities, industry partners, etc. (6) Maintaining strong relationship with portfolio companies - Infinite / Real Estate / Investments
Investment - Identifying and analysing projects for investment, modes of investment - Entity v/s SPV, Investment structuring, Project due diligence, Term sheet structures and documentation, developing project monitoring MIS
