Job Responsibilities  - Drafting of Notice, Agenda and Minutes for Board Meetings, various Committee meetings and General Meetings.  - Assisting in the convening of the Board, Committee, and General Meetings.  - Maintaining Statutory Registers and records  - Liaising with various government departments, consultants, auditors, directors, shareholders   - Preparation of documents and director's disclosure under Companies Act, 2013 and Rules made thereunder   - Assisting in Statutory/ Internal Audit/ Due Diligence of the Companies  - Preparation & ensuring timely filing of forms/returns etc. with Registrar of Companies and RBI,   - Preparation of Directors Report, Annual Return, Notices etc.  - Drafting of petitions/applications for NCLT/High Courts / etc.  - Payment of Stamp Duty on share certificate/allotment/merger orders etc.   - Corporate action for issue and allotment of shares, increase of share capital  - Dematerialization of shares, opening of demat account  - Ensuring all compliances under the Companies Act, 2013, Secretarial Standard, and Rules made thereunder and other corporate laws  - Ensuring timely compliances under FEMA in relation to ODI/FDI and filing of APR, FLA and various forms and documents   - Assist in re-structuring activities i.e. mergers, acquisition, incorporation, winding up and striking off   - Assisting in compliances related to foreign subsidiaries/joint ventures   Requirement:  Experience: 5 to 8+ years of post-qualification experience and consistent track record with a background of working with a reputed group.   Qualifications: Membership of ICSI; Additional degree in law is desirable.  Competencies & Soft Skills   - Good working knowledge and practical experience in the area of Company Law and Rules made thereunder Secretarial Standards/Practices  - Target orientation with good quality written and spoken communication skills  - Good interpersonal skills and a team player   - Computer proficiency
