- Compliances with the requirements of the Companies Act, 2013, rules and regulations issued thereunder, including filing of all statutory forms, returns, applications etc. with the Ministry of Corporate Affairs, updation/ maintenance/ preparation of all statutory registers/ records, disclosures etc. for the Company and its subsidiaries.

- Compliances with SEBI Listing Regulations and other SEBI regulations applicable to the Company including Prohibition of Insider Trading Regulations and Filing, filing of all quarterly, half yearly, annual and event based compliances and disclosures with BSE and NSE as required under the SEBI Listing Regulations and other SEBI Regulations.

- Ensuring that all corporate governance norms, practices, policies, regulatory, or statutory changes that might affect the Company are up to date and are approved by the Board/ its Committees, if required.

- Compliances and liaising with the Ministry of Corporate Affairs, Registrar of Companies, Reserve Bank of India, SEBI, Stock Exchanges, NSDL, CDSL, and other statutory authorities.

- Assistance in conducting meetings of the Board and its various Committees, Annual General meetings and Extra-ordinary General meetings, handling Postal Ballot and E- Voting processes, preparation of agenda papers and minutes of all these meetings and all pre and post meeting compliances

- Handling matters related to issue of shares, ESOPs and other securities, payment of interim and final dividend, handling stakeholders' grievances and regularly coordinating / dealing with Company's RTA

- Manage the Secretarial/Compliance Audit and coordinating with Internal/ Statutory/ Secretarial Auditors as required.

- Drafting of Notice, Directors' Report and other statutory reports forming part of Annual Report of the Company and its subsidiaries and dispatch of Annual report to the shareholders

- Work closely with the Finance team to ensure compliances relating to approval for borrowings, investments, loans, quarterly and annual financial results etc. under the relevant provision of the Companies Act, 2013 and the SEBI Listing Regulations

- Any other functions and responsibilities as may be assigned from time to time

Note : Experience with listed organization is a must
