Job Title: Company Secretary
Job Location: Bangalore
Role Purpose:
- Take responsibility for legal and compliance
- Ensure that the organization is conducting its business in accordance with applicable laws, rules and regulations, and follows highest standards of corporate governance
- Ensure that Board procedures are followed and regularly reviewed and provide guidance to the Directors on their responsibilities under various laws
Principal Accountabilities:
- Maintenance of all Statutory Registers of the Company and filing relevant Forms with the Registrar of Companies
- Provide legal advice counsel to the company and to IMS Global in relation to its Indian investment
- Manage compliance of all procedures relating to local legislation applicable to the company
- Provide solutions to legal issues, in-house where possible
- Own the Governance process and the governance procedures regarding board meetings, general meetings and annual general meeting of the company
- Support group companies & fellow subsidiaries on compliance activities
- Handle all issues pertaining to drafting and vetting of contracts such as vendor contracts, property contracts and confidentiality contracts.
- Represent the company as required during interactions with government departments particularly Ministry of Corporate Affairs / Registrar of Companies and the Reserve Bank of India
- Participate in specific projects such as
- Improving the management of contracts and contract data
- Formulating and implementing a legal compliance program for the company
Minimum Education, Experience & Specialized Knowledge Required:
- Qualified Company Secretary, member of the Institute of Company Secretaries of India (mandatory)
- Bachelors Degree in Law (mandatory)
- Min 5 years post qualification experience (ideally 8+ years total post qualification experience) preferably in the IT / ITeS / Consulting sector and in a multinational company environment
- Hands on experience in company law compliance, drafting service contracts, STPI compliance
Good to Have:
- Must possess strong communication skills and good interpersonal, influencing skills while dealing with the applicable, governing, legal and compliance organizations
- Has to demonstrate the highest level of personal integrity
