Job Position: Title : India Legal Counsel. Reporting : General Counsel for Asia-Pacific, with a dotted line reporting to the Chairman, Imerys India. Location : Flexible. Frequent travel within India is to be expected. Industry - Any Position Requirements : This position requires: - Bachelor's degree in law from a top Indian law school; India bar qualification is preferred; post-graduate degree is a plus. - 8+ years of broad-based commercial legal experience (in-house legal department of an international or large Indian corporation is preferred); - Experience in mining law is a plus but not a requirement. Position Scope : - Provide support to Indian business units on all areas of commercial in-house legal practice. - Draft, review, negotiate all types of commercial contracts and similar documentation (including NDAs, sales, purchasing, consultancy, agency/distribution, real estate, construction contracts, as well as MOUs, offer letters, performance bonds etc.) - Manage all litigation, help resolve commercial claims - Advise on day-to-day legal issues faced by the businesses and alert business teams to legal and regulatory risk - Assist/liaise with Group Insurance Dpt. and local brokers for insurance claims and queries. - Act as compliance point of contact for India: assist in training exposed business teams, ensure implementation of Group programs, advise on compliance-related issues. - Collaborate with company secretaries for non-routine corporate work, and provide support for India-related M&amp;A and corporate restructuring projects as needed. - Manage and develop appropriate legal resources, processes and tools - Help develop and maintain a network of external counsel throughout India - Update/localize templates for key legal documentation - Conduct legal research, keep legal watch and deliver trainings on topics of interest - Collaborate within the legal team to share knowledge, improve efficiency and continuously increase the added value of the legal function for the business. The keys to success in this position are : - Sound knowledge of fundamental principles of contract and business law - A demonstrated practice of providing day-to-day business legal advice, with good critical thinking and creative problem-solving abilities - Willingness to work hands-on with limited involvement of outside counsel - Dynamism and proactive approach to work, with a pragmatic and pro-business view of legal issues - Capacity to communicate well with clients and stakeholders with no legal background - Mutual fit with and confidence of the General Counsel Asia-Pacific.
